Disclaimer & Undertaking – Saathi Birthday Campaign / #BoldWithSaathi Challenge
By submitting this form and participating in the Saathi Birthday Campaign or the #BoldWithSaathi Challenge (“Campaign” / “Challenge”), I hereby declare, acknowledge, and undertake as follows:
1. Definitions & Campaign Period
“Campaign” / “Challenge” means the Saathi Birthday Campaign / #BoldWithSaathi Challenge conducted by Saathi Eco Innovations India Pvt. Ltd. (“Saathi”).
“Participant” means an individual or team captain entering the Campaign.
“Submission” means any content (including video, photo, captions, audio, and metadata) provided in connection with the Campaign.
“Official Channels” means Saathi’s official website and verified social media accounts as publicly identified by Saathi.
The Campaign will run from 01/09/2025 to 31/09/2025 (Indian Standard Time, IST (UTC+05:30)), unless modified in accordance with these terms. Saathi reserves the right to extend or shorten the Campaign Period, and any such changes shall be communicated via Official Channels.
2. Voluntary Participation
Participation is entirely voluntary. Saathi has not compelled or directed me to perform any act. I am solely responsible for my choices and actions and confirm that I am physically and mentally fit to participate. Saathi shall not be liable for any accidents, incidents, or harm resulting from my own negligence or the negligence of others.
Participation does not create any expectation of prize entitlement, repost, or further engagement unless expressly confirmed by Saathi.
3. Eligibility & Restrictions
● Participants must be 18 years or older at the time of entry.
● Participants under 18 may enter only with express written consent of a parent or guardian, and Saathi may request proof at any time.
● The Campaign is open only to residents of India, unless expressly extended by Saathi.
● Employees, contractors, interns, agents, and immediate family members of Saathi are not eligible.
● The Campaign is void where prohibited by law. Participation is subject to all applicable laws and regulations of the Participant’s place of residence. Entries submitted from locations where contests of this nature are restricted or illegal shall be automatically void, and Saathi shall have no liability for such submissions.
4. Entry Method
To enter, Participants must complete the actions described on the Official Channels during the Campaign Period, including posting on permitted platforms with required tags/hashtags and submitting any required forms.
No purchase is necessary to enter or win. Entries received outside the Campaign Period or not complying with the rules may be void.
Saathi may at its discretion limit the number of entries per Participant or household, and reserve the right to consolidate or reject substantially similar entries.
5. Responsibility & Safety
● Participants shall ensure that all acts are safe, respectful, and lawful.
● Participants shall not engage in activities that may cause harm to themselves, others, or property.
● Participants must comply with all applicable local laws and regulations where the act is performed.
● Saathi shall not be liable for any illness, stress, injury, or medical condition resulting from participation.
Submissions must not encourage unsafe practices, trespass, or violations of third-party property rights.
6. Consent of Others & Group Participation
● If other individuals appear in a Submission, the Participant confirms that their consent has been obtained.
● If minors appear, parental or guardian consent has been obtained.
● For group entries, one person shall be designated as the team captain, who will be the primary entrant and assume full responsibility for compliance, accuracy, and safety. Prizes shall be awarded solely in the team captain’s name.
● Saathi shall not be responsible for disputes among group members regarding ownership, roles, or prize division.
● Saathi may request written appearance releases or location permissions where relevant. Failure to provide such releases may result in disqualification.
● Participants indemnify Saathi against any claims arising from lack of consent or disputes within group entries.
Saathi reserves the right to request written parental/guardian consent forms for minors featured, in addition to verbal or implied permissions.
7. Content Rights & Intellectual Property
● All Submissions must be the Participant’s original creation and must not infringe upon any third-party rights.
● Participants retain ownership of their original content. However, they grant Saathi an irrevocable, royalty-free, worldwide, perpetual license to use, reproduce, edit, crop, subtitle, adapt, publish, and distribute Submissions (including name, likeness, voice, and associated handles) across Saathi’s marketing and awareness channels, including but not limited to social media, websites, PR/media, events, email marketing, and promotional campaigns.
● Participants waive any moral rights or objections to modifications, edits, or contextual use of Submissions by Saathi.
● Submissions will not be returned. Saathi may review, moderate, remove, or decline to use any Submission at its sole discretion.
● Submission does not guarantee repost, feature, or use by Saathi.
Participants confirm that Submissions do not include stock media, copyrighted music, or any content requiring third-party clearances unless such rights have been lawfully secured.
8. Third-Party Rights in Submissions
Participants warrant that any music, sound recordings, fonts, trademarks, logos, or third-party materials included in Submissions are properly licensed or authorized.
Participants further agree to indemnify Saathi against any claims from third parties alleging infringement of intellectual property or publicity rights arising from their Submissions.
9. Data & Privacy
● Saathi may collect and process Participants’ personal data (including name, contact details, and address) for campaign administration, communication, verification, prize delivery, and publicity.
● Saathi shall not sell or misuse personal data and shall process it in accordance with its Privacy Policy.
● Saathi may share information only with trusted third-party service providers (such as couriers, prize sponsors, or verification agencies) for Campaign purposes, or as required by law.
● Personal data will be retained only as long as necessary for Campaign administration and legal compliance, after which it will be deleted or anonymized.
Saathi may require proof of identity, address, or age to verify eligibility and prize distribution.
10. Accuracy of Information
All information provided must be true, complete, and accurate. False, misleading, or incomplete information may result in disqualification. Saathi reserves the right to verify details independently.
Any attempt to falsify or manipulate information, including impersonation or submission under multiple identities, shall result in disqualification and potential legal action.
11. Prizes & Conditions
● All prizes are awarded strictly “as is” and are non-transferable, non-refundable, and non-exchangeable for cash or alternatives.
● Saathi may substitute prizes of equal or greater value at its discretion.
● Winners are solely responsible for all applicable taxes, duties, levies, and charges related to prizes.
● Saathi may require winners to furnish valid PAN and other KYC documents and may deduct tax at source (TDS) or other statutory deductions prior to prize distribution. Failure to provide required documentation within the stipulated time shall result in forfeiture.
● Saathi shall not be liable for postal delays, courier failures, customs restrictions, or loss of prizes once dispatched.
● Winners must claim prizes within 15 days of notification or the prize will be forfeited.
● Prizes shall be dispatched within 60 days of winner announcement, subject to logistics.
● Participation does not establish any employment, partnership, or contractual relationship with Saathi.
Saathi may disqualify a winner and withdraw a prize if fraudulent, plagiarized, or prohibited content is later discovered in the winning Submission.
12. Winner Notification & Publicity
Winners will be notified via the contact method provided (e.g., email, direct message, or phone) and may be publicly announced on Official Channels.
By accepting a prize, winners consent to Saathi’s use of their name, city, likeness, and submission for announcements and publicity without further compensation, to the extent permitted by law.
Winners further agree that their Submissions, testimonials, or photographs may be used in Saathi’s promotional or educational materials in perpetuity, without additional consent or compensation.
Winners must respond to notifications within the timeline specified in the communication, failing which Saathi may select an alternate winner at its discretion.
13. Disqualification & Misconduct
● Saathi may disqualify entries that are unsafe, fraudulent, offensive, obscene, defamatory, plagiarized, misleading, or otherwise in violation of the rules.
● Submissions must not include prohibited content such as hate speech, discrimination, harassment, nudity, pornographic material, glorification of self-harm, violence, weapons, illegal drugs, trespassing, traffic violations, or other unlawful or invasive acts.
● Each Submission must be unique and not reused across multiple entries.
● Automated systems, bots, or duplicate entries may result in disqualification unless expressly permitted.
● AI-generated content must be disclosed in captions or forms, and may not impersonate individuals, fabricate events, or deceptively manipulate acts. Saathi reserves the right to disallow such entries.
● Fraud, misrepresentation, or misconduct shall result in immediate disqualification.
Saathi reserves the right to permanently ban Participants who engage in repeated or egregious violations from entering future campaigns.
Saathi may report unlawful activities to law enforcement authorities where appropriate.
14. Third-Party Platforms & Technical Failures
● The Campaign may involve platforms such as Instagram, YouTube, or WhatsApp.
● Saathi is not responsible for outages, suspensions, or policy actions by such platforms.
● Participants must comply with the Terms of Service and Community Guidelines of each platform.
● The Campaign is not sponsored, endorsed, or administered by, or associated with, any platform. Participants release such platforms from all liability.
● Saathi is not responsible for lost, late, misdirected, incomplete, corrupted, incompatible, or delayed entries, or for network, server, hardware/software, or internet malfunctions of any kind.
Participants are solely responsible for maintaining valid accounts on the platforms used for participation; deactivated or restricted accounts may lead to disqualification.
15. Cancellation & Force Majeure
Saathi may amend, suspend, or cancel the Campaign at any time without prior notice. Saathi shall not be liable for delays, changes, or cancellations caused by events beyond its control, including natural disasters, strikes, lockdowns, government restrictions, technical failures, or safety concerns. Updates will be communicated via Official Channels.
In the event of cancellation, Saathi shall not be obligated to award any prizes, compensate Participants, or reimburse any expenses incurred in preparation for the Campaign.
16. Governing Law & Jurisdiction
The Campaign shall be governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat, India, to the exclusion of all other courts.
Participation constitutes consent to submit to such jurisdiction and waives any objection on grounds of inconvenient forum or similar principles.
17. Indemnity
Participants shall indemnify and hold harmless Saathi, its directors, employees, partners, and affiliates from claims, liabilities, damages, losses, or expenses (including legal costs) arising from participation, Submissions, or breaches of these terms, including intellectual property disputes, consent violations, personal injury, or property damage. This undertaking binds Participants, their heirs, and legal representatives.
This indemnity includes but is not limited to claims from third parties whose images, voices, works, or property appear in Submissions without lawful permission.
18. Limitation of Liability
To the maximum extent permitted by law, Saathi and its affiliates shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or reputation, arising from the Campaign. In no event shall Saathi’s total liability exceed the greater of (i) INR 5,000 or (ii) the retail value of the prize awarded to the Participant, if any.
Nothing in this section excludes liability for death, personal injury, or fraud where such exclusion would be unlawful under applicable law.
19. Severability
If any provision of this undertaking is invalid, unlawful, or unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by law.
Invalidity of a provision in one jurisdiction shall not affect its validity in other jurisdictions.
20. Interpretation & General Provisions
● Interpretation & No Waiver: Saathi’s interpretation of these terms is final. Failure or delay to enforce any provision shall not constitute a waiver.
● Assignment: Saathi may assign its rights or obligations to affiliates or successors without notice.
● Entire Agreement: These terms constitute the entire agreement and supersede prior communications on this subject.
● Language: In case of inconsistencies between translations, the English version shall prevail.
● Survival: Sections 5–8, 11–20 survive expiration or termination of the Campaign.
Headings are provided for convenience only and shall not affect interpretation.
These terms are binding upon Participants regardless of whether they have read them in full, and participation constitutes acceptance.
